Worldline divests part of Ingenico merchant acquiring businesses

As part of the clearance from the European Commission for Worldline’s acquisition of Ingenico provided on 30 September 2020, Worldline, the European market leader in payment and transactional services, has committed to divest part of Ingenico merchant acquiring businesses in Austria and in Belgium and part of Worldline merchant acquiring business in Luxembourg, representing annual revenue of approximately € 25 million in 2020.
Bezons, 12 may 2021 – As part of the clearance from the European Commission for Worldline’s acquisition of Ingenico provided on 30 September 2020, Worldline, the European market leader in payment and transactional services, has committed to divest part of Ingenico merchant acquiring businesses in Austria and in Belgium and part of Worldline merchant acquiring business in Luxembourg, representing annual revenue of approximately € 25 million in 2020.
In that respect Worldline has signed sale and purchase agreements with two purchasers for these merchant acquiring businesses, which remain subject to, among other conditions, approval from the European Commission:
- The Ingenico POS acquiring activities in Austria operated through PAYONE will be sold to an affiliate of Global Payments, a global US provider of payment technology and software solutions. All customers of SIX Payment Services in Austria, which were part of Worldline prior to the combination with Ingenico and which have been transferred to PAYONE on 1st of March 2021, will remain with PAYONE and are not part of the divested businesses.
Worldline's POS acquiring activities in Belgium and Luxembourg, mostly originated from Ingenico, will be sold to Axepta BNP Paribas Benelux, a wholly owned subsidiary of BNP Paribas, a major French bank that already serves merchants in those countries.
Closing of the transactions is expected by end of October 2021.
